TERMS OF SERVICE

PREAMBLE
These Terms of Service (hereinafter referred to as the "Terms") constitute a legally binding agreement between the User and the Service Provider governing the use of the SkillsSurf platform. These Terms set forth the rights and obligations of the parties regarding the Account registration, Subscription to services, and purchase of Digital Content.
The Service Provider is Get Compliant sp. z o.o., with its registered office in Warsaw, at ul. Poetów 8c, 03-147 Warsaw, Poland, entered into the Register of Entrepreneurs of the National Court Register kept by the District Court for the Capital City of Warsaw in Warsaw, 13th Commercial Division of the National Court Register, under KRS number: 0000828291, NIP (Tax ID): 5242897829, REGON: 385054366, share capital: PLN 5,000.00 (hereinafter referred to as the "Service Provider" or "SkillsSurf").

§ 1. DEFINITIONS
For the purposes of these Terms, the following definitions shall apply:
- Platform: The web-based application and ecosystem available at skillssurf.com (and its subdomains), operated by the Service Provider.
- User: Any natural person, legal person, or organizational unit without legal personality who uses the Platform.
- Consumer: A natural person performing a legal transaction with the Service Provider not directly related to their business or professional activity (pursuant to Art. 22¹ of the Polish Civil Code).
- Entrepreneur with Consumer Rights: A natural person concluding a contract directly related to their business activity, when the content of this contract indicates that it does not have a professional character for that person, resulting in particular from the subject of their business activity, made available on the basis of the provisions on the Central Register and Information on Economic Activity (CEIDG).
- Entrepreneur: A User who is not a Consumer or an Entrepreneur with Consumer Rights (typically a B2B client or a professional purchasing services related to their trade).
- Account: A dedicated electronic panel within the Platform, activated upon Registration, allowing the User to access Services, Digital Content, and tools such as the SurfBoard and Life Audit.
- Service (or Digital Service): A service provided electronically by the Service Provider to the User via the Platform, in particular the "SkillsSurfer's Toolkit" subscription, which includes access to the SurfBoard, SkillsMap, and Chat functionalities.
- Digital Content: Data produced and supplied in digital form which is not supplied on a tangible medium, such as the "Integrated Self Blueprints" (e-learning modules) or access codes (keys) to external courses.
- Subscription: A model of purchasing Services wherein the User gains access to the Services for a definite period (e.g., monthly or annually) in exchange for a recurring Fee.
- Order: The User's declaration of intent aiming directly at the conclusion of a Sales Agreement or Service Agreement.
§ 2. TECHNICAL REQUIREMENTS AND RULES OF USE
- To use the Platform, the User must possess: a. A device with access to the Internet (computer, tablet, smartphone); b. An active email address; c. A web browser supporting HTML5, CSS3, and JavaScript (e.g., latest versions of Chrome, Firefox, Safari, Edge); d. Cookies enabled in the browser settings.
- The User is prohibited from providing unlawful content, including content that infringes on the personal rights or intellectual property of third parties, or content that is offensive, harassing, or illegal under applicable law.
- The Service Provider utilizes mechanisms to ensure the security of data transmission (SSL certificate) but notifies the User that using the Internet always carries a risk of cyber threats.
§ 3. ACCOUNT REGISTRATION AND MINORS
- Age Requirement: The Platform is intended for individuals who are at least 18 years of age and have full legal capacity.
- Registration Process:
- a. Registration is voluntary.
- b. Users may register via email or through third-party authentication services (specifically Google Login).
- c. Email Verification & 24-Hour Deletion: Upon registration via email, the Service Provider sends an activation link to the provided email address. This link is valid for 24 hours. If the User fails to click the link and confirm the account within this timeframe, the Account and all associated personal data will be automatically and permanently deleted from the Service Provider's systems.
- d. Users registering via Google authenticate directly with Google's servers. The Service Provider receives an authentication token but does not store the User's Google password.
- The User is obliged to maintain the confidentiality of their login credentials and is liable for all activities occurring under their Account.
§ 4. SERVICES AND SUBSCRIPTIONS (SKILLSSURFER'S TOOLKIT)
- Scope: The Service Provider offers the "SkillsSurfer's Toolkit" as a Digital Service. This includes access to the SurfBoard, unlimited Life Audits, SkillsMap integration, and "Inspirations".
- Free Trial:
- a. New Users may be eligible for a one-time, 7-day free trial of the SkillsSurfer's Toolkit.
- b. To activate the trial, the User must provide valid payment details. No funds will be charged at the start of the trial.
- c. The User may cancel the Subscription at any time during the trial period without incurring any costs.
- d. If the User does not cancel the Subscription before the expiry of the 7-day trial, the Service Provider will automatically charge the Fee for the first billing period.
- Subscription Fees:
- a. The Fee for the SkillsSurfer's Toolkit is $27.00 per month (gross amount, inclusive of applicable VAT).
- b. The Service Provider may offer an annual plan with a promotional discount (e.g., pay for 10 months, get 12).
- c. Fees are charged in advance for each billing period.
- Billing Cycle:
- a. The Subscription renews automatically at the end of each billing period (month or year) unless cancelled.
- b. The billing period corresponds to the calendar day of activation.
- Cancellation:
- a. The User may cancel the Subscription at any time via the Account settings.
- b. Cancellation takes effect at the end of the current paid billing period. The User retains access to the Services until that date.
- c. Data Retention Warning: Upon the final termination of the Subscription (after the paid period ends), the Service Provider reserves the right to limit access to data stored in the SurfBoard. The User is advised to export their data before the Subscription expires, as the Service Provider does not guarantee indefinite storage of data for inactive accounts.
§ 5. ONE-TIME PURCHASES (DIGITAL CONTENT)
- Scope: The Platform allows for the purchase of Digital Content, including "Integrated Self Blueprints" and access keys/codes to external courses (e.g., hosted on third-party platforms like Udemy).
- Delivery:
- a. Digital Content is delivered immediately upon the successful processing of payment.
- b. For "Blueprints," access is granted directly within the Platform dashboard.
- c. For external keys, the access code is displayed on the screen and/or sent via email.
- Third-Party Platforms (e.g., Udemy):
- a. Where the Digital Content consists of an access key to a third-party platform, the Service Provider acts solely as a seller/distributor of the access rights.
- b. The actual consumption of the course occurs on the third-party platform and is subject to that platform's Terms of Service and Privacy Policy.
- c. The Service Provider is not responsible for the technical availability, server uptime, or account bans imposed by the third-party platform, provided the access key itself was valid at the time of delivery.
§ 6. PAYMENTS
- Prices listed on the Platform are gross prices (including VAT) expressed in US Dollars (USD), unless otherwise indicated.
- Payments are processed by external payment operators (e.g., Stripe). The User accepts the terms and regulations of the payment operator regarding the processing of personal data and transaction security.
- The Service Provider does not store full credit card details (PAN). Tokenization technology is used to ensure security.
- Invoices are issued electronically. By accepting these Terms, the User agrees to receive electronic invoices to the email address assigned to their Account.
§ 7. RIGHT OF WITHDRAWAL (CONSUMER RIGHTS)
- General Right: Subject to the exceptions below, a User who is a Consumer or an Entrepreneur with Consumer Rights has the right to withdraw from a contract concluded at a distance within 14 days without giving any reason.
- Withdrawal from Services (Subscription):
- a. If the User requests the commencement of Services before the 14-day withdrawal period expires (e.g., by logging in and using the SurfBoard), the User may still withdraw, but must pay for the Services provided up to the moment of withdrawal (pro-rated amount).
- b. If the Service has been fully performed with the User's express consent before the 14-day period expires, the right of withdrawal is lost.
- EXCEPTION FOR DIGITAL CONTENT (NO REFUND):
- a. Pursuant to Art. 38 of the Polish Consumer Rights Act and the EU Consumer Rights Directive, the right of withdrawal does not apply to contracts for the supply of Digital Content which is not supplied on a tangible medium (e.g., Blueprints, External Access Keys) if:
- i. The performance has begun with the Consumer's prior express consent before the end of the 14-day withdrawal period; and
- ii. The Consumer has acknowledged that they hereby lose their right of withdrawal.
- b. By clicking "Pay & Access Now" (or similar) and checking the mandatory consent box during checkout, the User expressly agrees to the immediate delivery of the Digital Content and acknowledges the loss of the 14-day right of withdrawal. Consequently, sales of Blueprints and external keys are final and non-refundable once delivery has commenced.
- a. Pursuant to Art. 38 of the Polish Consumer Rights Act and the EU Consumer Rights Directive, the right of withdrawal does not apply to contracts for the supply of Digital Content which is not supplied on a tangible medium (e.g., Blueprints, External Access Keys) if:
- Exercise of Withdrawal: To exercise the right of withdrawal (where applicable), the User must inform the Service Provider via email at office@gclawyers.eu. The User may use the model withdrawal form attached as Annex 1 to these Terms.
§ 8. AI DISCLAIMER AND LIABILITY LIMITATIONS
- AI Services: The Platform utilizes Artificial Intelligence (AI) technologies, including Large Language Models (e.g., Gemini), to provide recommendations, Life Audits, and coaching content.
- No Professional Advice:
- a. Not Medical Advice: The Services, including the Life Audit and AI coaching, are for informational, educational, and self-development purposes only. They do not constitute medical, psychological, or psychiatric advice, diagnosis, or treatment. Users experiencing mental health crises should seek professional help immediately.
- b. Not Legal/Financial Advice: Any career, business, or financial suggestions provided by the AI are generated based on patterns and do not constitute professional, legal or financial advice.
- Accuracy and "Hallucinations": The User acknowledges that AI systems may generate "hallucinations," errors, or inaccurate information. The Service Provider does not guarantee the complete accuracy, safety, or suitability of AI-generated advice for the User's specific situation. Reliance on such information is strictly at the User's own risk.
- Liability Limitation (B2B): To the fullest extent permitted by law, for Users who are Entrepreneurs (excluding Entrepreneurs with Consumer Rights), the Service Provider's liability is limited to the amount of Fees paid by the User in the 12 months preceding the claim, and specifically excludes lost profits (lucrum cessans) and indirect damages.
- Liability (Consumers): For Consumers and Entrepreneurs with Consumer Rights, the Service Provider is liable for non-performance or improper performance of the contract in accordance with the mandatory provisions of the Polish Civil Code and applicable consumer protection laws. No provision in these Terms is intended to limit statutory consumer rights.
§ 9. COMPLAINTS (STATUTORY WARRANTY)
- The Service Provider is obliged to provide Digital Content and Digital Services that are in conformity with the contract.
- If the Digital Content or Service is non-compliant, the Consumer (and Entrepreneur with Consumer Rights) has the right to demand that it be brought into conformity.
- Complaints should be submitted via email to office@gclawyers.eu, containing the User's details, a description of the defect, and the desired resolution.
- The Service Provider shall respond to the complaint within 14 days of its receipt. If the Service Provider does not respond within this period, the complaint is deemed accepted.
- If bringing the content into conformity is impossible or requires excessive costs, the Consumer may request a price reduction or withdraw from the contract (subject to statutory limitations).
§ 10. INTELLECTUAL PROPERTY
- All content available on the Platform (text, graphics, logos, software, Blueprints, methodologies) is the property of the Service Provider or its licensors and is protected by copyright law.
- Upon purchasing Digital Content or Subscriptions, the Service Provider grants the User a non-exclusive, non-transferable, limited license to use the content for personal, non-commercial purposes (or internal business purposes for Entrepreneurs, excluding resale).
- The User may not redistribute, resell, share accounts, or share access keys/Blueprint files with third parties. Breach of this clause may result in immediate account termination and legal action.
§ 11. TERMINATION AND SUSPENSION
- The User may terminate the Agreement for the provision of an Account at any time by sending a request to delete the Account.
- The Service Provider may terminate the Agreement or suspend the User's Account with immediate effect if the User:
- a. Breaches these Terms;
- b. Uses the Platform for unlawful purposes;
- c. Provides false data upon registration;
- d. Infringes upon the intellectual property rights of the Service Provider or third parties.
§ 12. FINAL PROVISIONS
- Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Republic of Poland.
- Dispute Resolution:
- a. The Service Provider agrees to participate in out-of-court dispute resolution procedures.
- b. Consumers in the EU may use the ODR platform available at http://ec.europa.eu/consumers/odr.
- c. Any disputes involving Entrepreneurs shall be settled by the court competent for the registered office of the Service Provider (Warsaw). Disputes involving Consumers shall be settled by the competent court in accordance with the Civil Procedure Code.
- Changes to Terms: The Service Provider reserves the right to amend these Terms. Registered Users will be notified of changes via email at least 14 days in advance. Continued use of the Platform after the changes take effect constitutes acceptance.
- Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
ANNEX 1: MODEL WITHDRAWAL FORM
